EverLatch is software you run, not a service we operate. That makes most of the usual terms unnecessary — and makes one clause matter more than everything else put together: if you lose your master password, nobody can get your vault back.

This agreement
These terms are between you and HelperAn, a business registered in India (Udyam registration UDYAM-PB-12-0260075), and they govern your use of EverLatch — the Windows app, the Android app, the browser extension, and this website.
By installing or using EverLatch you accept these terms. If you do not accept them, do not install it, and uninstall it if you already have.
If you are using EverLatch on behalf of an organisation, you confirm you are authorised to accept these terms for it.

What EverLatch is
EverLatch is an offline-first password manager. It stores your credentials and files in one encrypted database on your own device, and synchronises directly between devices you have paired, over your own local network.
It is software you run, not a service we operate. There are no accounts, no servers and no hosted component. Nothing you store reaches us, and there is nothing for us to take down, suspend or lock you out of.

Your licence
We grant you a personal, worldwide, non-exclusive, non-transferable, revocable licence to install and use EverLatch on devices you own or control, for your own purposes — personal or internal business use alike.
You may not:
- sell, rent, sublicense or redistribute EverLatch as your own product
- present a modified build as an official EverLatch release, or use the EverLatch name or mark in a way that suggests we published or endorsed it
- remove or obscure copyright, licence or attribution notices in the software
- use EverLatch to break the law, to store material you have no right to hold, or to access accounts that are not yours to access
Reverse engineering is permitted to the extent the law of your country grants you that right regardless of what a licence says — in the EU and India among others, it does.

Price and payment
EverLatch is currently provided free of charge. There is no subscription, no trial that expires, and no feature held back behind a payment at this time.
If paid features are ever introduced, they will be identified and priced clearly before you buy anything, and nothing you already have will stop working because of it.
Where a purchase is made through an app store, that store handles the payment, the receipt and any refund, under its own terms — not ours.

Your master password, and the fact that we cannot help
This is the single most important clause in this document, so it is not written in small print.
There is no password reset. There is no recovery link, no support override, and no server-side copy of anything. If you lose your master password, or lose every device and every backup, your vault cannot be opened — not by you, and not by us. We are not withholding a way in. There is not one.
You are responsible for:
- choosing a master password strong enough to be worth the vault behind it, and not reusing it anywhere else
- keeping encrypted backups, somewhere separate from your everyday device
- the security of your devices — an unlocked or compromised device defeats any encryption at rest
- confirming device pairings before approving them, so you sync only with your own hardware
- anything you choose to export in plaintext, which by definition is no longer protected

Your data stays yours
You keep every right in the content you store in EverLatch. We claim no ownership, no licence and no interest of any kind over it.
We could not use it in any case: it never reaches us. See the Privacy Policy for exactly what does and does not leave your device.

Third-party components and services
EverLatch is built on open-source components, including libsodium and SQLCipher, each used under its own licence. Those licences are reproduced in the application, and nothing in these terms takes away a right one of them grants you.
The optional known-leaks check queries a public breach-data service operated by a third party. That query is anonymised as described in the Privacy Policy, runs only when you press the button, and is subject to that service own availability and terms. We do not control it and do not guarantee it.

Availability, updates and changes
EverLatch runs on your device, so it keeps working whether or not we do anything. We may publish updates that add, change or remove features, and we may stop publishing updates for a platform.
We are not obliged to provide updates, support, or continued compatibility with future operating system versions. If development stopped entirely, the copy you have installed would keep running and your vault would remain yours and readable.
Where an update changes the vault format, EverLatch will migrate your existing vault. Keeping a backup before a major update is still the sensible habit.

No warranty
EverLatch is provided as is and as available, without warranty of any kind, express or implied — including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement.
We do not warrant that it will be uninterrupted, error-free, or free of vulnerabilities, or that it will meet your requirements. No advice or information you get from us creates a warranty that is not stated here.
Some jurisdictions do not allow the exclusion of implied warranties. Where that is so, this clause applies to the maximum extent that jurisdiction permits, and your statutory consumer rights are unaffected.

Limitation of liability
To the maximum extent permitted by law, HelperAn is not liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of data, profits, revenue, goodwill or business, arising out of or connected with your use of EverLatch.
That expressly includes loss of access to your vault caused by a forgotten master password, a lost or failed device, a missing or corrupted backup, or a device that was compromised.
Where liability cannot lawfully be excluded, our total aggregate liability is limited to the greater of the amount you paid us for EverLatch in the twelve months before the claim, or ₹1,000.
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited under applicable law.

Indemnity
You agree to indemnify HelperAn against any claim, demand, loss or expense arising from your use of EverLatch in breach of these terms or in breach of the law, or from content you stored or transmitted using it.

Encryption and export compliance
EverLatch contains strong cryptography. Some countries restrict the import, use, export or re-export of cryptographic software.
You are responsible for complying with the laws that apply where you are, and you confirm you are not located in, or acting on behalf of, any country or party subject to sanctions that would prohibit your use of it.

Termination
You may end this agreement at any time by uninstalling EverLatch. Because there is no account, nothing needs to be closed and nothing needs to be requested from us.
Your licence ends if you materially breach these terms. Your vault is unaffected by that — it is your file, on your device, and it remains readable by the software you already have. Clauses on liability, warranty, indemnity and governing law survive termination.

Changes to these terms
If these terms change, the updated version is posted on this page with a new date at the top. Continued use after that means you accept the updated terms.
If you do not accept a change, stop using EverLatch and uninstall it. Your vault remains yours either way.

Governing law and disputes
These terms are governed by the laws of India. The courts of Punjab, India have exclusive jurisdiction over any dispute arising from them.
If you are a consumer, this does not deprive you of the protection of the mandatory consumer laws of the country you live in, or of your right to bring proceedings in your local courts where the law gives you that right.
Before anything formal, please write to us. Most things are settled faster by email than by anyone else.

General
- Severability. If any clause is held unenforceable, the rest stays in force and that clause is applied as far as it lawfully can be.
- No waiver. If we do not enforce a right straight away, we have not given it up.
- Assignment. You may not transfer these terms. We may transfer them to a successor of the business, on notice.
- Entire agreement. These terms and the Privacy Policy are the whole agreement between us about EverLatch.
- Language. These terms are written in English, and the English version governs.
